Mr. Goodman has served as a director of our Sponsor, Dundee Corporation, since April 2012. Mr. Goodman has been working in the financial services and mining industry since 1992. He began his career working for Dundee Corporation and has held numerous positions within the organization. In 2005, he founded Cogitore Resources Inc., a base metal exploration company active in Northern Quebec.

He has also served as President and Chief Executive Officer of both Valdez Gold and Cogitore Resources. Mr. Goodman is currently the COO and Executive Vice President of Dundee Corporation. He sits on the board of directors of several public and private companies.

Lucie Presot, CPA

Ms. Presot is a senior financial executive with over 25 years of experience in the financial services industry. For over 20 years, Ms. Presot has held various senior and executive positions at Dundee Corporation and its subsidiaries. Currently, Ms. Presot is, among others, the Vice President and Chief Financial Officer of Dundee Corporation, Dundee Global Investment Management Inc., Goodman & Company, Inc., and Investment Counsel Inc.

Prior to June 2009, Ms. Presot served as Vice President and Controller of Dundee Corporation and DundeeWealth Inc. Ms. Presot earned her Bachelor of Science at York University and is a Chartered Professional Accountant.

Mr. Turnbull currently serves as a Vice President of Dundee Global Investment Management Inc. He recently joined Dundee Global Investment Management Inc. in late 2014 after a year at Goodwood Inc. in Toronto. Prior to his role at Goodwood Inc., Mr. Turnbull spent about 23 years in investment banking, equity capital markets, debt capital markets and principal investing in private companies in New York and London for Salomon Brothers, Citigroup and Lazard Freres.

He has advised on M&A transactions valued at over $300 billion and raised over $50 billion for his clients in the infrastructure, telecom, media and technology sectors. Mr. Turnbull holds a Bachelor of Arts in Business Administration from the University of Western Ontario’s Richard Ivey School of Business and is experienced in and knowledgeable of the special purpose acquisition corporation market.

From 2012 to present, Mr. Costa has been a Vice President and Portfolio Manager of Goodman and Company Investment Counsel, a wholly-owned subsidiary of Dundee Corporation. In this role, he acts as Portfolio Manager, managing a portfolio of opportunistically invested assets, with a core focus on Canadian capital markets. From 2010 to 2012, Mr. Costa was a director with UBS Securities Canada and was responsible for managing the Fundamental Investment Group’s Canadian investment portfolio.

As such, Mr. Costa was responsible for the direct management of a long/short portfolio invested opportunistically across multiple industries within Canadian capital markets, with a particular focus on hard-asset investing. Prior to joining UBS, Mr. Costa was a Vice President at both Goldman Sachs & Co. in New York, and Goldman Sachs Canada Inc., in Toronto. From 2005 to 2010, Mr. Costa was a member of the Goldman Sachs Special Situations Group (“GSSSG”), a multi-billion dollar multi-strategy principal investment platform within Goldman Sachs.

During this time, he successfully sourced, structured and executed both public and private debt, and equity principal investments on behalf of the firm. In 2006, Mr. Costa moved to Toronto to become one of three founding members of the Canadian Special Situations Group (“CSSG”) within GSSSG. As the business grew, Mr. Costa was promoted to Co-Head of CSSG.

In this role, he was responsible for the management of the CSSG portfolio as well as the supporting investment team, while continuing to source and execute principal investments across the capital structure. Mr. Costa began his career at Goldman Sachs in 2003 on the distressed/high yield desk. He graduated cum laude with honours in Economics from Colgate University in Hamilton, New York.

Mr. Leckie started his career at Aon Hewitt. He subsequently worked as a corporate finance associate at a Toronto based IIROC dealer, Integral Wealth Securities Inc. From 2009 until 2014, Mr. Leckie conducted investing activities through his holding company CoreCap Inc. In 2014, he joined Dundee Global Investment Management Inc. as a Vice President. In his current role, Mr. Leckie is responsible for identifying and developing investment opportunities.

He is currently a board member of AgriMarine Holdings Inc. and True North Nickel Inc. and has previously served on the board of Hit Technologies Inc. Mr. Leckie graduated with a Bachelor of Arts from the Dalhousie University.

Mr. Calandra is Vice President, Legal of Goodman & Company, Investment Counsel Inc., a subsidiary of Dundee Global Asset Management, the wealth management division of our Sponsor, and Senior Legal Counsel to Dundee Corporation and its subsidiaries.

Mr. Calandra is responsible for matters of corporate finance and securities on behalf of the Sponsor and its subsidiaries. Prior to joining Dundee, Mr. Calandra was a corporate and securities law associate at two distinguished national law firms.

Mr. Calandra graduated from the concurrent Honours Business Administration / Bachelor of Law programs at the University of Western Ontario in 2005 and earned his Masters of Business Administration (with distinction) at the Ivey Business School in 2007. Mr. Calandra is a member of the Law Society of Upper Canada and was called to the bar in Ontario in 2006.

Mr. Goodman is President and Chief Executive Officer of Dundee Corporation and serves on its board of directors. Mr. Goodman leads Dundee’s operations globally, and is responsible for managing the firm’s transformation into an integrated wealth management platform and leading investment manager. Prior to his return to Dundee in 2014, a Canadian chartered bank’s acquisition of DundeeWealth brought Mr. Goodman to the bank in a new role as the Head of Global Asset Management, leading the newly acquired Dynamic fund family and Asset Management division of such Canadian chartered bank.

Mr. Goodman initially joined Dundee in 1994 as Partner, Vice President and Portfolio Manager. He became President and Chief Executive Officer of Dynamic Funds in 2001, and subsequently of DundeeWealth, Dynamic’s parent company, in 2007.

It was under Mr. Goodman’s leadership that the firm was recognized as Fund Company of the Year for a record of seven times at the Canadian Investment Awards, and experienced growth of assets under management from $5 billion to over $50 billion.

Prior to joining Dundee, Mr. Goodman was an experienced litigator. He received a Bachelor of Commerce degree from McGill University in 1985 and a Bachelor of Law (Cum Laude) from the University of Ottawa in 1988, where he now serves on the President’s Council. His Chartered Financial Analyst designation was conferred by the University of Virginia in 1996.
